Private Investor Pool
Your shortcut to a structured and efficient investment in Build X Africa
The Private Investor Pool has been established to make it simple, fast and administratively efficient for private investors to become part of Build X Africa. Instead of each investor entering into a heavy individual ownership structure, investments are gathered in one contract-based investment model that provides access to a collective ownership position in the company. Each investment certificate has a nominal value of €10 per unit.
Rights and Structure
Investors in the Private Investor Pool obtain an economic interest in the company through the pool’s collective ownership share.
The Private Investor Pool represents up to 15% of the ownership interests in Build X Africa. The board of Build X Africa may decide to increase the number of units in the Private Investor Pool if it is considered strategically beneficial for the company’s capital raising, growth and further project development.
Participation in the pool does not grant direct voting rights in Build X Africa, and investors do not exercise individual control over the company’s management or decisions.
Returns and Distributions
Returns, distributions and any capital-related decisions are determined by Build X Africa in accordance with the company’s overall strategy and financial position.
Payments to investors are made proportionally according to their ownership share in the Private Investor Pool.
Influence and Representation
Investors in the Private Investor Pool may nominate candidates for the board of directors of Build X Africa.
The board makes the final decision regarding the appointment of board members.
Administration and Legal Framework
The Private Investor Pool is governed by a shareholders’ agreement and individual investor agreements.
Build X Africa is responsible for administering the pool, including registration of ownership interests, reporting and communication with investors.
Transfer
The transfer of investment certificates requires prior approval from Build X Africa.
